Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Epitro, Inc. (“Epitro,” “we,” or “us”) governing your access to and use of the Epitro platform, website, and related services (collectively, the “Service”). Please read them carefully.

Acceptance of Terms

By creating an Epitro account, accessing the Service, or clicking a button or checkbox indicating acceptance, you agree to these Terms and to our Privacy Policy. If you are using Epitro on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

Account Registration

You must be at least 18 years old to create an Epitro account. You agree to provide accurate and complete information at signup, to keep that information up to date, and to be responsible for any activity that occurs under your credentials. Notify us promptly at [email protected] if you believe your account has been compromised or accessed without your authorization.

Acceptable Use

You agree not to use Epitro to:

  • violate any applicable law, regulation, or third-party right;
  • harass, threaten, or discriminate against any tenant or other person;
  • send fraudulent, deceptive, or misleading notices, including using AI features to generate documents or messages you know to be false;
  • send unsolicited marketing or commercial messages to tenants or anyone else;
  • interfere with the Service, attempt to bypass security controls, scrape or reverse-engineer the platform, or introduce malicious code;
  • impersonate another person or misrepresent your affiliation with one.

We may suspend or terminate accounts that engage in any of the above.

Subscription and Billing

Epitro is offered on a paid subscription basis. Current pricing is available at signup. Subscriptions renew automatically until you cancel. If a charge fails, we may suspend access until payment is up to date. Except where required by law, fees are non-refundable. You are responsible for any taxes associated with your use of the Service. We may change pricing on a going-forward basis with reasonable notice.

Tenant Communications and SMS Compliance

Epitro provides A2P 10DLC infrastructure that lets you send SMS and MMS messages to your tenants. As the landlord or property manager, you are the sender of record for those messages. By adding a tenant to Epitro, you confirm that you have an existing relationship with that tenant and the legal right to contact them at the phone number you provide. You agree to comply with all applicable laws and rules governing business text messaging, including the TCPA, CAN-SPAM, CTIA guidelines, and US carrier requirements. You agree to honor opt-out requests promptly. We may suspend messaging if we detect abuse, complaint volume above carrier thresholds, or other conduct that puts the messaging channel at risk, and we may share information with carriers as required to maintain the channel.

AI Disclaimer

Epitro uses AI to triage maintenance requests, draft tenant replies, and summarize information. AI outputs are advisory and may be incomplete or incorrect. You remain the final decision-maker for every message sent on your behalf and every action taken in your account, including maintenance dispatch, lease renewals, and any notices to tenants. Do not rely on AI output for legal, medical, financial, or safety-critical decisions without independent review.

Intellectual Property

Epitro and its licensors own all right, title, and interest in the Service, including the software, design, and trademarks. We grant you a non-exclusive, non-transferable, revocable license to use the Service during the term of your subscription, subject to these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as expressly permitted by law.

User Content

You retain ownership of the content you submit to Epitro, including property records, tenant information, photos, and messages (“User Content”). By submitting User Content, you grant us a worldwide, royalty-free license to host, store, transmit, display, and process it as needed to operate, secure, and improve the Service. You represent that you have the rights necessary to submit the User Content and that its use through Epitro will not violate any law or third-party right.

Termination

You may cancel your account at any time from the dashboard or by emailing [email protected]. We may suspend or terminate your access if you breach these Terms, if continued operation poses a risk to other users or to the messaging channel, or if required by law. Sections that by their nature should survive termination — including fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Epitro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid Epitro in the twelve months before the event giving rise to the claim or (b) one hundred US dollars. Some jurisdictions do not allow these limitations, so they may not apply to you.

Indemnification

You agree to indemnify and hold harmless Epitro, its affiliates, and their respective officers, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, your communications with tenants, or your breach of these Terms or applicable law.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Dispute Resolution and Arbitration

Please read this section carefully — it affects your rights.

Any dispute or claim arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Delaware or by remote audio or video conference at the parties’ option. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver. You and Epitro agree that disputes will be resolved on an individual basis only. Neither you nor Epitro may bring or participate in a class, collective, or representative action, and the arbitrator may not consolidate claims or preside over any form of representative proceeding.

30-day opt-out.You may opt out of this arbitration agreement by emailing [email protected] with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.

Notwithstanding the above, either party may bring a qualifying claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property rights.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you by email or through the dashboard. Continued use of Epitro after a change takes effect means you accept the updated Terms.
